This A.D. Group of Companies' Global Legal & Privacy Policy ("Global Privacy Policy") is an operational document intended to apply in all countries in which A.D. Group conduct operations. It does not describe all applicable laws or other policies of A.D. Group or give full details on any particular law or policy. It does not constitute legal advice.

A.D. Group reserves the right to review and modify this Global Privacy Policy from time to time in compliance with the requirement of applicable law.

CHAPTER 1: A.D. GROUP OF COMPANIES

1.0 GENERAL STATEMENT

In this Global Privacy Policy, the term A.D. refers to the global organization and is the initial name for its group of companies, which may refer to one or more of its respective associated corporate partners and/or subsidiaries and/or affiliates and/or jointly controlled entities ("A.D.", "Group", "A.D. Group of Companies"). The expression "A.D." is used for convenience where references are made to A.D. Group of Companies in general. The companies in which directly or indirectly, affiliates of A.D. Group of Companies as its individual shareholders are having an ownership interest in direct or indirect shareholding are distinct legal entities.

This Global Privacy Policy is issued on behalf of the A.D. Group of Companies so when we mention "we", "us" or "our" in this privacy statement, we are referring to the relevant entity within the A.D. Group of Companies responsible for processing your data. A.D. Group of Companies details of which can be found here.

ADF serves as the regional head office incorporated in Malaysia. We will let you know which entity will be the data controller for your data when you engage any of our services.

This Global Privacy Policy is provided in a layered format, so you can click through to the specific areas set out below and applies to all personal data you provide to the Group when you access the Group's Website at www.adfamilyofficeasia.com ("the Group's Website") and/or when you use the Group's web services.

The Group's Website is comprised of global content, which relates to the local and international business and operations of our affiliates, subsidiaries and associated corporate partner.

By providing us with your personal data when you access or view the Group's Website or use the Group's app services, you consent and agree to the Group collecting, using, and disclosing your personal data in the manner set out in this Global Privacy Policy.

Notwithstanding any other provision in this Global Privacy Policy, you agree that A.D. Group of Companies shall be entitled to use and disclose any information and feedback arising from your use of the services, subject to such information and feedback being anonymized and such use and disclosure being in compliance with applicable privacy laws.

3.0 JURISDICTION GROUP

MALAYSIA

In line with the Personal Data Protection Act 2010 ("PDPA") of Malaysia and its subsidiary legislation regulates the collection and use of personal data regarding commercial transactions, ADF serves as the regional head office incorporated in Malaysia with its parent holding company A.D. Capital Holdings Sdn. Bhd. ("ADCH") each of which is a separate and independent legal entity. ADCH is not responsible or liable for any acts or omissions of ADF or any other member of A.D. Group of Companies and vice versa.

ADCH does not provide professional services to clients and participates in client engagements. ADCH is the parent entity of:

  • A.D. Financial Sdn. Bhd. ("ADF");
  • A.D. Family Office Sdn. BHD. ("ADFO");
  • A.D. Family Office Assets Sdn. Bhd. ("ADFOA");
  • A.D. Family Office RE Sdn. Bhd. ("ADFORE"); and
  • A.D. Corporate Solutions Sdn. Bhd. ("ADCS");

Whereas ADF is the holding company of A.D. Evoque Financial Sdn. Bhd. ("ADE") of which is a separate and independent legal entity.

ADF a private entity incorporated in Malaysia is a licensed entity to provide professional services and/or participate in client engagements as a Capital Markets Services License (CMSL) holder for financial planners (FP) and/or Islamic FP by the Securities Commission (SC) of Malaysia to carry on the following regulated activities:

  1. dealing in securities (all securities, including equities, debentures, unit trust products, and any other structured product);
  2. financial planning (analysing the financial circumstances of another person and providing a plan to meet that other person's financial needs and objectives, including any investment plan in securities, whether or not a fee is charged in relation thereto); and
  3. providing specific advice (equities, debentures or warrants listed on Bursa Securities).

ADE on the other hand is a private entity incorporated in Malaysia and duly licensed with the Bank Negara Malaysia (BNM) as the Financial Adviser and insurance intermediary.

SINGAPORE

In Singapore's jurisdiction, the Personal Data Protection Act 2012 and its subsidiary legislation regulate the collection and use of personal data regarding commercial transactions.

A.D. Financial Pte. Ltd. ("ADS") is the holding company of A.D. Azzarion Advisory Pte. Ltd. ("ADZ") and A.D. Chicago Global Pte. Ltd. ("ADCG"), each of which is a separate and independent legal entity.

ADS is affiliated with A.D. Group of Companies operating in Asia which are separate and independent legal entities that are, directly or indirectly, affiliates of A.D. Group of Companies as its individual shareholders are having an ownership interest in ADS.

ADZ and ADCG provide professional services to clients and participate in client engagements for and on behalf of ADS and it oversees the implementation of ADZ policies and facilitates their cooperation. Thus, ADS do have control or management and have an ownership interest in an individual capacity in ADZ and ADCG.

ADZ and ADCG are the agents of ADS, and it has the authority to represent or bind ADS thereof.

HONG KONG

In Hong Kong's jurisdiction, the Personal Data (Privacy) Ordinance 1996 (Cap.486) as amended in 2013, the Personal Data (Privacy) (Amendment) Ordinance 2021 (Ordinance gazetted on 8 October 2021) and the Personal Data (Privacy) (Amendment) Bill 2021 and its subsidiary legislation regulate the collection and use of personal data regarding commercial transactions.

A.D. Financial (Hong Kong) Pte. Ltd. ("ADHK") is an affiliate of A.D. Group of Companies operating in Asia which are separate and independent legal entities that are, directly or indirectly, affiliates of A.D. Group of Companies, as ADS is the holding company having a corporate ownership interest in ADHK.

It provides professional services to clients and participates in client engagements for and on behalf of ADS and it oversees the implementation of ADHK policies and facilitates their cooperation. Thus, it does have control or management and has an ownership interest in an individual capacity in ADHK.

ADHK is a subsidiary company of ADS.

ADHK is the agent of ADS, and it has the authority to represent or bind ADS thereof.

AUSTRALIA (MELBOURNE)

In Australia's jurisdiction, the Australian Privacy Principles ("APPs") and Privacy Act 1988 (Cth-) as amended in 2012 and its subsidiary legislation regulate the collection and use of personal data regarding commercial transactions.

A.D. Financial (Aus) Pty. Ltd. ("ADAus") is an affiliate of A.D. Group of Companies operating in Asia which are separate and independent legal entities that are, directly or indirectly, affiliates of A.D. Group of Companies, as ADS is the holding company having a corporate ownership interest in ADAus.

It provides professional services to clients and participates in client engagements for and on behalf of ADS and it oversees the implementation of ADAus policies and facilitates their cooperation. Thus, it does have control or management and has an ownership interest in an individual capacity in ADAus.

ADAus is a subsidiary company of ADS.
ADAus is the agent of ADS, and it has the authority to represent or bind ADS thereof.

By using the Group's Website, you are agreeing to be bound by the following terms and conditions. The information on the Group's Website is intended to furnish users with general information on matters that A.D. may find to be of interest. While every effort has been made to offer current and accurate information, errors can occur. Furthermore, the Group's Website may contain references to certain laws and regulations. Laws and regulations will change over time and should be interpreted only in light of particular circumstances and/or jurisdiction.

You should not send any confidential information to any member firm of A.D. until you have received an agreement from us to perform the services you request via our Letter of Engagement (which includes our general terms of engagement).

RSS Feeds, Podcasting and eMail Updates - Terms of Use

RSS feeds, podcasting and email updates are free services offered by certain A.D.'s associated corporate partners to individuals for private, non-commercial use. The A.D. RSS feed is a means by which A.D. offers article headlines, descriptions and links in XML to individuals who use RSS readers or aggregators. A podcast is an audio program to which individuals can subscribe. A.D. makes podcasts available to individuals for their own personal use. RSS, podcasting and email update aggregators may incorporate the A.D. feeds into their directories for the benefit of individuals using the aggregator. Any other use is prohibited, including copying, reproducing, republishing, uploading, posting, transmitting, or distributing our feeds or podcasts in any way by any means.

A.D. reserves the right to discontinue our feeds, podcasts and email updates at any time. All content, imagery, and logos that appear within the A.D.'s RSS feed, podcasts and email updates are owned by A.D. and all rights are reserved.

ADF is a central coordinating entity for the A.D. Group of Companies and its associated corporate partners.

2.0 INTRODUCTION TO PRIVACY POLICY

This Global Privacy Policy explains how A.D. collects and uses personal data and describes the rights you have with respect to your personal data. A.D. wishes to ensure proper privacy is maintained for your protection. Hence, we would like to state that we will work within the applicable laws regarding the collection, usage and dealing with your personal data.

In this policy, "A.D.", "our", "we" or "us" refers to the global organization of the associated corporate partners of A.D. Group of Companies (as defined in the respective country's PDPA Notice), each of which is a separate legal entity, or refers to one or more of those associated corporate partners. The controllers of your personal data are one or more of the A.D. entities.

A.D. processes personal data for a variety of purposes. We collect this personal data directly from you, for example, if you engage us to prepare your Wealth Protection & Preservation Planning via our official letter of engagement for advisory services if you visit www.adfamilyofficeasia.com (the Group's Website), if you submit your contact details to receive marketing communications from us or submit a job application via the A.D. careers Group's Website or any other careers application platforms.

Alternatively, we process your personal data in the context of providing professional services or service providers. Finally, we obtain your personal data via publicly available sources, such as LinkedIn and Google.

This privacy notice is intended to cover all of the above-mentioned scenarios.

2.1 TYPE OF PERSONAL DATA:

A.D. will process your Personal Data as listed below (non-exhaustive) which has been provided by you to us:

  1. Names, addresses (including email addresses), telephone and facsimile numbers;
  2. Identity Card number/passport number;
  3. Family details (Details about next of kin including spouse and children's names), occupation, gender, education;
  4. Financial details;
  5. Membership in professional associations;
  6. Contact details including house phone number, mobile phone number, email address and mailing address; and
  7. Any other Personal Data provided to us.

Such data, where it relates directly or indirectly to a specific individual may fall within the definition of Personal Data under PDPA and as such, all acts of processing such Personal Data will be carried out in compliance with PDPA.

Under PDPA, "processing" includes acts of collecting, recording, holding or storing Personal Data.

We will collect Personal Data where it is required for carrying out one or more of its functions or activities only by lawful and fair means and not in an unreasonably intrusive way.

If it is reasonable and practical to do so, we will collect Personal Data about an individual directly from the individual concerned.

We may also collect Personal Data from a variety of other sources, including without limitation at any events, conferences, seminars or talks organised or sponsored by us and/or from the cookies used on the Group's Website.

2.2 SOURCE OF PERSONAL DATA:

How the Personal Data is collected by us:

  1. When you/your legal representatives engage us (or as a prospect) in connection with services provided by us or you have registered your interest with us for information, updates, inquiries and engagement;
  2. When you attend our public talks and seminars;
  3. When you visit the Group's Website or social networking A.D. App;
  4. From any company within the A.D. Group of Companies' international affiliates/related company;
  5. Under any transaction or inquiry or communication made with or to us from time to time, in connection with any service, transaction, survey, questionnaire or communication with us;
  6. From third-party sources such as credit reference agencies, fraud prevention agencies, credit bureau reports, and publicly available sources of information;
  7. Your image, by way of video or photo shooting during our seminar and corporate events;
  8. There is an automatic collection of some information about your computer such as IP address, web browser software and other information when you visit our Group's Website.

The information requested by us is necessary. Failure to receive such information means we may not be able to provide you with the services that you engaged from us, as well as relevant updates or information necessary for your needs.

2.3 PURPOSE/USAGE OF PERSONAL DATA:

As a general rule, we will not use or disclose Personal Data about an individual other than for its primary purpose of collection (or as is obvious from the context of collection), unless:

  • The individual has consented to the use or disclosure
  • The use or disclosure is required or authorized by or under law
  • The use or disclosure is reasonably necessary for a specified purpose by or on behalf of a regulatory or enforcement body

If you are acting as an intermediary or otherwise on behalf of a third party or supply us with information regarding a third party (such as a friend, a colleague, an employee etc), you undertake that you are an authorised representative or agent of the third party and that you have obtained all necessary consents from the third party to the collection, processing, use and disclosure by us of their Personal Data.

Because we are collecting the third party's data from you, you undertake to make the third party aware of all matters listed in this Privacy Policy preferably by distributing a copy of this Privacy Policy to them or by referring them to our Group's Website.

With regards to A.D. Group of Companies' direct marketing activities:

  • We will not charge the individual for giving effect to a request not to receive direct marketing communications
  • Any individual who receives direct marketing communication from us may contact or email A.D.' Legal & Compliance Division at the contact details below (or the respective regional Data Protection Officer) to notify us.

2.4 DISCLOSURE OF PERSONAL DATA:

We respect the confidentiality of the Personal Data you have provided to us. Your personal information provided to us is processed by entities (in or outside of Malaysia or the respective region) within A.D. Group of Companies (including related business units, companies, subsidiaries, holding companies, associated companies and outsourcing partners) to meet the purposes for which you have submitted the information and activities directly related to it.

We may disclose Personal Data to other affiliates in A.D. Group of Companies network of firms, and to certain third parties to perform functions on our behalf, where it is necessary: -

  • to meet the purpose for which you have submitted the information; or
  • to enable you to be provided with information at a later date which may be of relevance and interest to you based on the nature and purpose of your voluntary request.

We may also transfer all data in our possession to a successor-in-interest to our business or assets.

By submitting Personal Data to us, you are providing explicit consent to the trans-border transmission of such data as described in this Privacy Policy. However, we will ensure that any transfer of Personal Data to a territory outside of Malaysia will be in accordance with PDPA to ensure a standard of protection for Personal Data that is comparable to the protection under the PDPA.

We do not disclose Personal Data to third parties except when required by the law when we have your consent or deemed consent or in cases where we have engaged a third party such as data intermediaries or subcontractors specifically to assist with our firm's activities.

Any such third parties whom we engage will be bound contractually to keep all information confidential.

However, please note that we may disclose your Personal Data to third parties without first obtaining your consent in certain situations.

These main exceptions do not apply to personal data processing in the following circumstances:

  • By the federal government and state governments.
  • For purposes of a credit reporting business carried on by a credit reporting agency under the Credit Reporting Agencies Act 2010.
  • Outside Malaysia, which is not intended to be further processed in Malaysia.
  • By an individual only for the purposes of that individual's personal, family, or household affairs, including recreational purposes.

In addition, the PDPA provides exemptions from compliance with certain personal data protection principles, including personal data processing in the circumstances enumerated under Sections 45(1) to (2) of the PDPA.

2.5 PERSONAL DATA INTEGRITY:

We will take reasonable steps to make sure that the personal information it collects, uses or discloses is accurate, complete, not misleading and up-to-date, as required or permitted by law and to give effect to your requested commercial transaction.

2.6 PERSONAL DATA SECURITY:

We will take reasonable security arrangements to ensure that your Personal Data is adequately protected and secured. Appropriate security arrangements will be taken to prevent any unauthorised access, collection, use, disclosure, copying, modification, leakage, loss, damage and/or alteration of your Personal Data.

However, we cannot assume responsibility for any unauthorised use of your Personal Data by third parties which are wholly attributable to factors beyond our control.

We will also put in place measures such that your Personal Data in our possession or under our control is destroyed and/or anonymised as soon as it is reasonable to assume that: -

  • the purpose for which that Personal Data was collected is no longer being served by the retention of such Personal Data; and
  • retention is no longer necessary for any other legal or business purposes.

2.7 ACCESS AND CORRECTION:

Pursuant to the PDPA, we may on request by an individual, provide them with access to their Personal Data and consider a request for correction of that data.

Our decision to provide such access or consider any request for correction of the Personal Data as it appears in our records is subject always to any exceptions under applicable laws and/or PDPA.

We may decide to impose a charge upon the individual to cover the cost of verifying a request for information and locating, retrieving, reviewing and copying any material requested.

Pursuant to the PDPA, an individual may forward a written request to us to stop processing Personal Data.

For a request to access Personal Data, we will provide you with the relevant Personal Data within thirty (30) days of such a request being made. Where a request cannot be complied with within the above time frame, we will inform you of the reasonably soonest time in which we will respond.

We will make every endeavour to ensure your personal information is accurate and up to date therefore we ask that if there are changes to your information you should notify us directly. Upon request, we will correct an error or omission in the individual's Personal Data that is in our possession or control by the requirements of PDPA.

In the absence of such written notification from you, we will deem it that you consent to the processing, usage and dissemination of your personal information in the manner, to the extent and within the scope of this Privacy Policy and be subject to the requirements under PDPA.

However, your withdrawal of consent could result in certain legal consequences arising from such withdrawal. In this regard, depending on the extent of your withdrawal of consent for us to process your Personal Data, it may mean that we will not be able to continue with your existing relationship with us.

The collection of your Personal Data by us may be mandatory or voluntary in nature depending on the Purposes for which your Personal Data is collected. Where it is obligatory for you to provide us with your data, and you fail or choose not to provide us with such data, or do not consent to the above or this Privacy Policy, we will not be able to provide products and/or services or otherwise deal with you.

Where you elect to limit our right to process the Personal Data, you may also contact the above-mentioned Legal & Compliance Division, in writing.

2.9 UPDATES ON DATA PROTECTION POLICY:

As part of our efforts to ensure that we properly manage, process and protect your Personal Data, we will continuously review our policies, procedures and processes. We reserve the right to amend the terms of this Privacy Policy at our absolute discretion. Any amended part of this Privacy Policy will be posted on our Group's Website.

You are encouraged to visit us at www.adfamilyofficeasia.com from time to time to ensure that you are well-informed about our latest policies regarding Personal Data protection.

2.10 USE OF GOOGLE ANALYTICS:

We may also use Google Analytics Advertiser Features (or other similar services) to optimize our business.

Advertiser features include:

  • Remarketing with Google Analytics;
  • Google Display Network Impression Reporting;
  • DoubleClick Platform Integrations; and
  • Google Analytics Demographics and Interest Reporting

By enabling these Google Analytics Display features, we are required to notify our visitors by disclosing the use of these features and that we and third-party vendors use first-party cookies (such as the Google Analytics cookie) or other first-party identifiers, and third-party cookies (such as the DoubleClick cookie) or other third-party identifiers together to gather data about your activities on our Group's Website.

Among other uses, this allows us to contact you if you begin to fill out our check-out form but abandon it before completion with an email reminding you to complete your order.

The "Remarketing" feature allows us to reach people who previously visit our Group's Website and match the right audience with the right advertising message.

You can opt out of Google's use of cookies by visiting Google's ad settings and/or you may opt-out of a third-party vendor's use of cookies by visiting the Network Advertising Initiative opt-out page.

2.11 STORAGE OF YOUR INFORMATION:

Your information is stored on our servers that deliver our content and messaging and is kept as long as such information remains potentially useful for the purposes it was collected, and not any longer.

Your information can only be accessed by us and those who help manage our Group's Website.

3.0 GENERAL DATA PROTECTION REGULATIONS (GDPR)

The GDPR apply to any of the A.D. Group of Companies that process data in the European Union (EU) and where we offer goods or services to or monitor the behaviour of the people inside the EU. The GDPR applies to all information that can directly or indirectly influence an individual. A.D. has prepared itself for the GDPR by providing information as to when data is deleted, has provided a transparent overview of A.D.'s use of the personal information it has collected, and detailed how you can exercise your privacy rights.

European Union Residents have the following rights:

You will have the right to withdraw your consent to process your personal information.

You have a right to request A.D. provide you with a copy of your personal information held by us. This information will be provided without undue delay subject to some fee associated with the gathering of the information (as permitted by law) unless such provision adversely affects the rights and freedoms of others.

You have the right to request A.D. to update any of your personal information that you believe is incorrect or inaccurate.

Right to Erasure. You have the right to request the erasure of your personal information that:

is no longer necessary in relation to the purposes for which it was collected or otherwise processed;

was collected in relation to processing that you previously consented, but later withdraw such consent; or

was collected in relation to processing activities to which you object, and there are no overriding legitimate grounds for our processing.

Right to Data Portability. If we process your personal information based on a contract with you or based on your consent, or the processing is carried out by automated means, you may request to receive your personal information in a structured, commonly used and machine-readable format, and to have us transfer your personal information directly to another "controller", where technically feasible unless the exercise of this right adversely affects the rights and freedoms of others.

A "controller" is a natural or legal person, public authority, agency, or other body that, alone or jointly with others, determines the purposes and means of processing your personal information.

Right to Restriction of or Processing. You have the right to restrict or object to us processing your personal information where one of the following applies:

You contest the accuracy of the personal information that we processed. In such instances, we will restrict processing during the period necessary for us to verify the accuracy of your personal information.

If you believe A.D. has infringed your rights, we kindly request that you contact our Personal Data Protection Compliance Officer prior to lodging a complaint with the relevant authorities so that we may attempt to resolve the dispute.
